Definition
- “Confidential Information”
refers to any information clearly marked as "Confidential" or that, by its nature, is intended to be confidential and shared by Nexafuse in connection with this Agreement.
- “Data” means any content created, shared, or stored by you using Nexafuse services.
- “Service(s)” refers to Nexafuse's technology solutions, including its AI and software services, as introduced and described on its website.
- “Site” refers to the Nexafuse website where users sign up or log in to access the services.
- “Third Party” or “Third Parties” refers to any external entities involved in supporting or integrating with Nexafuse services.
- “You” or “Your” refers to any individual or legal entity agreeing to the terms of this Agreement to use Nexafuse services.
License & Restrictions
Nexafuse grants you a non-exclusive, non-transferable license to use its services for internal business purposes, subject to this Agreement. Any other use requires explicit written consent from Nexafuse.
You agree not to:
- Resell, transfer, or modify the services.
- Allow unauthorized third parties to use the services.
- Disrupt the integrity or performance of the services.
- Use the services unlawfully or in violation of this Agreement.
Your Obligations
To access Nexafuse services, you must create an account by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and any unauthorized access resulting from their misuse.
Fees and Payment Terms
- Fees for Nexafuse services are determined at the time of signup.
- You are responsible for any applicable taxes or duties associated with the services.
- Payments are due within 30 days of invoice receipt.
- Nexafuse may revise fees with 30 days' notice.
Proprietary Rights
All intellectual property rights related to Nexafuse services remain the exclusive property of Nexafuse. No part of this Agreement transfers ownership of these rights to you.
Data Ownership
You retain ownership of the data you create or store using Nexafuse services. Nexafuse is granted a non-exclusive license to use your data solely for service provision.
Confidentiality
You agree to protect Nexafuse’s Confidential Information and not to disclose it to unauthorized parties. This obligation remains effective for five years after the termination of this Agreement.
Indemnity
You agree to indemnify and hold Nexafuse harmless from claims or damages arising from:
- Your use of the services in violation of any third-party rights or laws.
- Breaches of this Agreement.
Warranty & Disclaimer
Nexafuse warrants that its services will perform as described. Except for this warranty, the services are provided "as is" without any other warranties, including implied warranties of merchantability or fitness for a specific purpose.
Limitation of Liability
Nexafuse is not liable for indirect, incidental, or consequential damages arising from your use of the services, except in cases of breach of confidentiality.
Arbitration
Disputes arising from this Agreement will be resolved through binding arbitration in accordance with applicable laws. Arbitration will take place in [specify location], and the arbitrator’s decision will be final.
Termination
You may terminate your account with 30 days' written notice. Nexafuse reserves the right to terminate your account for non-payment, breach of terms, or violation of restrictions.
Upon termination, you agree to:
